When to involve an M&A attorney:

Before you sign or submit an LOI (especially if you don’t have experience negotiating them or there’s a deposit, rollover equity, or licensing/regulatory issues).

Immediately after the LOI is signed if the LOI is already in motion so you can use exclusivity efficiently, start and/or sequence due diligence, and keep the deal on time for closing.

LETTER OF INTENT (LOI) STRATEGY
We translate business terms into an LOI that set the foundation for a successful transaction, including purchase price mechanics, structure (asset vs. equity), exclusivity, due diligence scope and timing, seller financing, earnouts, working capital concepts, key closing conditions, non-competition and non-solicitation provisions, and we work with you to strategize where to leave flexibility.
LEGAL DUE DILIGENCE
We organize diligence around what actually moves the needle: liabilities, contracts, employment/contractor issues, IP ownership, real estate/leases, regulatory requirements, litigation, and tax structure considerations (in coordination with your CPA). We can also help sequence diligence so you’re not paying for deep legal review before high-level financial diligence confirms the fundamentals.
PURCHASE AGREEMENT AND ANCILLARY TRANSACTION DOCUMENTS
We draft and negotiate the purchase agreement and the supporting closing package tailored to the deal: bill of sale/assignments, noncompete/non-solicit, transition services, seller note, escrow, corporate approvals, and closing certificates. Where a lender is involved, we coordinate document review with underwriting.
CLOSING COORDINATION
We run a practical closing checklist and coordinate signatures/deliverables so the transaction can close cleanly and you can shift from “deal mode” to operating.
